These Terms of Service (“Terms”) govern your access to and use of the Juno Grow greenhouse intelligence platform (the “Service”) operated by Juno Grow Inc. (“Juno Grow,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
Juno Grow provides an AI-powered greenhouse intelligence platform that integrates with environmental sensors, climate systems, and camera equipment to deliver real-time monitoring, pest detection, growing recommendations, and operational reports.
The Service includes dashboard access, AI chat and voice consultation, automated pest scanning, sensor data visualization, yield forecasting, spray log management, alert systems, and report generation.
Access to the Service is by invitation only. You must be invited by a farm administrator or by Juno Grow directly. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
You agree not to:
Juno Grow’s AI-powered features — including pest detection, irrigation advice, climate recommendations, and yield forecasts — are provided as decision-support tools only and do not constitute professional agricultural, chemical, or scientific advice. You retain full responsibility for all growing decisions, chemical applications, and crop management actions.
Specifically:
You retain all ownership rights in your Farm Data (sensor readings, crop configurations, images, yield records, spray logs, water reports, and other operational data). Juno Grow does not claim ownership of your data.
By using the Service, you grant Juno Grow a non-exclusive, worldwide license to collect, store, process, and display your Farm Data solely for the purpose of providing, maintaining, and improving the Service for you.
You grant Juno Grow a perpetual, irrevocable, non-exclusive, royalty-free license to create Anonymized Data from your Farm Data by irreversibly removing all identifying information (including farm name, business name, owner identity, location, and any other reasonably identifying details). Juno Grow may use Anonymized Data for:
Anonymized Data will only be shared in aggregate form combining data from multiple farms. No Anonymized Data will be shared until Juno Grow holds data from a minimum of five separate farm operations. Recipients of Anonymized Data are contractually prohibited from attempting to re-identify any farm or individual.
You may opt out of Anonymized Data creation at any time by contacting privacy@junogrow.com. Anonymized Data created prior to your opt-out request is not subject to deletion, as it is no longer identifiable to you.
By using the Service, you acknowledge that we collect usage and activity data as described in our Privacy Policy. This data is used to monitor the performance, security, and reliability of the Service and to inform product improvements.
By uploading images through the Service (including via camera scanning and live video), you confirm that you have the right to share those images and consent to their processing by Juno Grow and our AI service providers for pest detection and crop analysis purposes.
Current pricing is published on our website. All prices are in Canadian dollars unless otherwise specified. Juno Grow reserves the right to change pricing with 30 days’ written notice.
New customers may receive a 30-day pilot period. During the pilot, the Service is provided free of charge. No automatic charges occur at the end of the pilot — you will only be charged after explicitly agreeing to a paid plan.
Paid subscriptions are billed monthly in advance. Subscriptions auto-renew unless cancelled with at least 5 business days’ notice before the next billing date.
A one-time setup fee may apply for gateway configuration, sensor integration, and onboarding. This fee is non-refundable once the setup process has begun.
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of planned maintenance where possible.
To the maximum extent permitted by law:
You agree to indemnify and hold harmless Juno Grow, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your reliance on AI-generated recommendations, your violation of these Terms, or your violation of any applicable law or regulation.
You may request a full export of your Farm Data at any time in standard formats (CSV, JSON). We will fulfill export requests within 30 days.
You may cancel your subscription at any time with 5 business days’ notice before the next billing date. Upon cancellation, you may request a data export within 30 days.
We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or if continued provision of the Service becomes impractical due to regulatory or legal requirements.
Upon termination, we will delete your Personal Data and identifiable Farm Data within 90 days, unless retention is required by law. Anonymized Data created prior to termination is not subject to deletion.
The Service, including its software, design, algorithms, documentation, and branding, is the exclusive property of Juno Grow Inc. and is protected by applicable intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as described herein.
You agree not to use or export the Service in violation of Canadian, U.S., or other applicable export control laws and sanctions regulations.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. For users located in the EU/EEA or United Kingdom, applicable consumer protection and data protection laws of your jurisdiction shall also apply.
Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in Ontario, Canada, in accordance with the rules of the ADR Institute of Canada. The arbitrator’s decision shall be final and binding.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service with a revised “Last updated” date. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
